These Terms of Service ("Terms") govern your access to and use of UI Initiative at uiinitiative.com (the "Site") and any related services (the "Service"). By using the Service, you agree to these Terms.

1. What we offer

UI Initiative sells premium templates and plugins built for Swiper and Framework7. Items are downloadable digital products and may include source code, documentation, and demo assets.

2. Accounts & eligibility

You must be 18+ and able to enter a contract.
Keep your account credentials secure and information accurate.
You're responsible for all activity under your account.

3. Purchases, payments, and taxes

Prices and inclusions are shown on the Site or at checkout. Payments are processed by our payment provider. You authorize recurring or one-time charges as applicable.
Prices may change prospectively. Taxes (if any) are your responsibility.

4. Refunds

Refunds are handled under our Refund Policy available on the Site. In brief, refunds may be available for non-delivery, major defects we cannot resolve, or not-as-described claims (time-limited). Renewals may have a short grace-period for refund where applicable. See the Refund Policy for details.

5. Product license (short form)

Each purchase includes a Regular License (short summary):

Non-exclusive, non-transferable right to use the purchased item in your or your client projects.
You may modify the item's source as needed for your project.
You may not redistribute, resell, sublicense, or make the item available as a competing product or as part of any template or builder for others to generate their own copies.
Full terms: see the UI Initiative License. If your use involves distributing a website template for sale or embedding plugins in a SaaS website builder, you must obtain an Extended License (Template or SaaS) before distribution.

6. Intellectual property

We (and our licensors) own the Service, Site, and catalog items (except third-party components in the items, which are governed by their own licenses). No rights are granted except as stated in Section 5.

7. Acceptable use

Do not use the Service to break the law, infringe IP, reverse engineer our systems, bypass access limits, harvest accounts, or distribute malware. Automated scraping that harms Service stability is prohibited.

8. Updates, availability, and changes

We may add, change, or remove features, items, or pricing; impose limits; suspend or discontinue parts of the Service; or update items to keep compatibility with Swiper/Framework7. We strive for high uptime but do not guarantee uninterrupted access.

9. Third-party services

The Service may integrate with third parties (e.g., payment processors, analytics, hosting). Their terms and privacy practices govern their components.

10. Termination

We may suspend or terminate access for breach of these Terms or risk to the Service. You may cancel your account at any time. After termination, you must stop accessing the Service; your existing license to previously downloaded items continues per Section 5 and the license page.

11. Disclaimers

The Service and items are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages; and our total liability for any claim is limited to the amounts you paid to us in the 6 months before the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold us harmless from claims and expenses (including reasonable attorneys' fees) arising from your content, your use of the items or Service, or your violation of these Terms or applicable law.

14. Changes to these Terms

We may update these Terms by posting a revised version with a new “Last updated” date. Your continued use of the Service after the effective date means you accept the changes.

15. Governing law & venue

These Terms are governed by the laws of the State of Florida (USA), with exclusive venue in Miami-Dade County, Florida.
